Terms of Use.

These Terms of Use ("Terms") govern your access to and use of Sujho, an AI-powered educational assistant operated by Sujho AI Private Limited ("Sujho", "we", "us", or "our"), a company incorporated under the Companies Act, 2013, with its registered office at 5 E Madras Boarding House, C Place, Connaught Place, New Delhi 110001 (CIN U62099DL2025PTC459192). Sujho is currently provided free of charge.

By completing onboarding — including tapping "Continue" (or any equivalent control) on the screen confirming that you agree to these Terms — or by otherwise accessing or using Sujho, you agree to be bound by these Terms. If you do not agree, do not use Sujho.

If you are under 18, you may use Sujho only with the consent and supervision of a parent or legal guardian, who accepts these Terms on your behalf and is bound by them. By allowing a minor in your care to use Sujho, you accept these Terms for that minor and take responsibility for their use.

1What Sujho is

Sujho is an artificial-intelligence assistant, accessed primarily through WhatsApp and, where offered, through web and mobile interfaces. Depending on how you use it, Sujho can help you do things such as solve doubts and learn concepts; build lesson plans, homework, tests, revision notes, and presentations; grade work; and track learning progress. You can also provide Sujho with your own materials so that it can tailor its responses to your content.

Sujho is a tool that assists with teaching and learning. It does not replace a teacher, a tutor, or your own judgment. We do not promise or guarantee any particular result — including any score, grade, rank, admission, or other outcome — from your use of Sujho. We may add, change, suspend, or withdraw features at any time.

2Eligibility and access

You must be capable of entering into a binding agreement under Indian law to use Sujho on your own behalf. If you are a minor, the consent and supervision condition above applies.

To use certain features, you may need to register or be added by another user. You agree to provide accurate information and to keep it up to date. You are responsible for activity that takes place through your access to Sujho, and for keeping your access credentials and device secure. Please tell us promptly if you believe your access has been compromised.

If another user invites you to join a class or group, you choose whether to accept. You become a user of Sujho in your own right only when you take that step and accept these Terms.

3Content you provide

"Your Content" means anything you upload, submit, input, or otherwise provide to Sujho — including documents, notes, teaching materials, questions, images, and messages.

3.1 Ownership

You keep ownership of Your Content. These Terms do not transfer ownership of Your Content to us.

3.2 Your responsibility and warranty

You are solely responsible for Your Content. You represent and warrant that you own Your Content, or have all rights, licences, consents, and permissions necessary to provide it to Sujho and to grant the licence in clause 3.4, and that Your Content does not infringe or violate any third party's rights — including intellectual-property rights, privacy, or confidentiality — or any law.

3.3 We do not screen content; we are a neutral platform

Sujho lets you use and tailor the Service with your own materials. We do not pre-screen, monitor, verify, or endorse Your Content, and we are not responsible for it. If you provide material that you do not have the right to use — for example, content copied or scanned from a textbook, publication, or other source that you do not own and are not licensed to use — that is your responsibility and not ours, and any consequences, including any third-party claim, rest with you. We provide the platform; what you choose to put into it is your decision and your risk.

3.4 Licence to us

So that we can run Sujho for you, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sub-licensable licence to host, store, reproduce, process, adapt, and use Your Content for the purpose of operating, providing, securing, personalising, and improving the Service for you. How we use data is described in Data and privacy below, and any future change to how we use it will be handled as described in Changes to these Terms.

3.5 Removal and takedown

We may remove or disable access to any content at our discretion, including content we believe breaches these Terms or infringes someone's rights. If you believe content on Sujho infringes your rights, contact us at support@sujho.com with enough detail to identify the content and your rights, and we will review and act as appropriate, including removing infringing content.

4What Sujho generates for you

"Outputs" means the lesson plans, tests, homework, notes, presentations, explanations, and other material that Sujho generates for you in response to your use.

4.1 Your ownership

As between you and us, you own the Outputs you generate, and you may use, modify, distribute, and otherwise exploit them, including for your own teaching, learning, and commercial purposes.

4.2 Our licence

You grant us the same licence over your Outputs as you grant over Your Content under clause 3.4, and for the same purposes.

4.3 What ownership of Outputs does not include

Owning an Output does not give you any rights in Sujho itself — including the Service, our software, our models, our knowledge graph, or our content — or in any third-party material that an Output may incorporate. You own the work product; you do not acquire rights in the system that produced it, or in materials owned by us or others that appear within it. Outputs are generated by AI, may not be original or unique to you, and similar Outputs may be generated for other users.

5Our intellectual property and acceptable use

5.1 Our intellectual property

Sujho and everything underlying it — including the Service, software, code, models, algorithms, the knowledge graph, databases, the content we provide, and our names, logos, and brand — are owned by or licensed to us and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use Sujho for your own teaching and learning for as long as these Terms apply. You acquire no other rights.

5.2 What you must not do

You agree that you will not:

  • use Sujho for any unlawful purpose, or in any way that breaches these Terms;
  • use Sujho to facilitate academic dishonesty — including cheating, impersonation in assessments, or completing work or examinations on behalf of others in violation of applicable rules;
  • upload or share content that is illegal, infringing, obscene, defamatory, harassing, hateful, harmful, or that violates anyone's privacy or rights;
  • copy, resell, sublicense, rent, or commercially exploit the Service or our content, or use them to build or train a competing product or service;
  • reverse engineer, decompile, scrape, or attempt to extract the Service's source code, models, or underlying data, except to the extent the law does not allow this restriction;
  • circumvent any access control, usage limit, or security measure, or introduce malware or otherwise interfere with or disrupt the Service;
  • remove or alter any proprietary notices, or use our brand or trademarks without our written permission.

6Data and privacy

We respect your data and handle personal data in line with applicable Indian law. The details of what we collect and how we use it are set out in our Privacy Notice, which forms part of these Terms.

In summary, we use the information you provide and the data generated through your use of Sujho to operate, secure, personalise, and improve the Service for you. We do not currently use your data to train general-purpose AI models. If we introduce any such use in future, we will update our Privacy Notice and these Terms, and obtain consent where the law requires it.

Some features involve data being visible to other users. For example, if another user adds you to a class, they may be able to see your activity and performance within that class. If you use Sujho to manage other learners — for instance, by adding students to a class — you are responsible for using their information lawfully and respectfully, and for having any consent that the law requires.

We take reasonable technical and organisational measures to protect personal data. No system is perfectly secure, and we cannot guarantee absolute security.

7AI outputs — accuracy, reliance, and safety

Sujho is powered by AI. Its outputs can be wrong, incomplete, out of date, or inappropriate, even when they appear confident. You should review and verify anything important before relying on it.

In particular: explanations and answers are a study aid, not a substitute for your teacher, your textbook, or professional advice; grading and analytics are assistive and indicative only — an auto-generated mark or assessment is a suggestion, not a final or authoritative result, and should be reviewed by a person before it is relied upon or shared; and Sujho does not provide professional, medical, legal, financial, or similar advice.

Because Sujho may be used by minors, we ask that parents, guardians, and teachers supervise that use, and we encourage you to report anything inappropriate to us.

8Third-party platforms and providers

Sujho is delivered through, and depends on, third-party services that we do not control.

You access Sujho mainly through WhatsApp, which is operated by Meta. Your messages and content pass through WhatsApp's systems and are subject to Meta's own terms and privacy practices. We are not responsible for WhatsApp's availability, security, or data handling.

We also use third-party AI and infrastructure providers to operate Sujho, and your inputs may be processed by them to deliver the Service. We select such providers with reasonable care, but we are not responsible for their independent acts or policies.

9Availability and disclaimers

We try to keep Sujho available and working well, but we provide it on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that Sujho will be uninterrupted, error-free, secure, or that it will meet your requirements. Access may be affected by maintenance, updates, technical issues, or events beyond our reasonable control.

10Limitation of liability

To the maximum extent permitted by applicable law:

  • we (and our directors, officers, employees, and affiliates) are not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, goodwill, or opportunity, arising from or relating to your use of Sujho; and
  • our total aggregate liability for all claims arising out of or relating to Sujho or these Terms will not exceed INR 5,000.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

11Indemnity

You agree to indemnify and hold harmless Sujho and its directors, officers, employees, and affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) Your Content, including any claim that it infringes or violates a third party's rights; (b) your use of Sujho; or (c) your breach of these Terms or of any applicable law.

12Termination

You may stop using Sujho at any time, and you may ask us to close your access. You can also ask us to delete Your Content, and we will do so, subject to any retention the law requires. Because we do not currently use your data to train general-purpose models, deleting Your Content removes it from the personalised service we provide to you.

We may suspend or end your access to Sujho, with or without notice, if you breach these Terms or the law, if your use risks harming others, us, or the Service, or if we are required to, or decide to, discontinue the relevant features.

Provisions that by their nature should survive — including those on Your Content and our intellectual property (clauses 3, 4, and 5), disclaimers and limitation of liability, indemnity, governing law, and these survival terms — continue to apply after termination.

13Changes to these Terms

We may update these Terms from time to time — for example, to reflect changes in Sujho, in our data practices, or in the law. We will post the updated Terms here and update the "last updated" date, and where appropriate we will notify you. Where a change requires your consent under applicable law, we will obtain it. Continuing to use Sujho after the updated Terms take effect means you accept them. If you do not agree, you must stop using Sujho.

14Governing law and disputes

These Terms, and any dispute arising out of or relating to them or to Sujho, are governed by the laws of India. If a dispute arises, please contact us first so we can try to resolve it. If it cannot be resolved, the courts at New Delhi, India will have exclusive jurisdiction. Nothing prevents either party from seeking urgent interim relief from a court in India.

16General

These Terms, together with the Privacy Notice and anything they expressly incorporate, are the entire agreement between you and us about your use of Sujho, and replace any earlier terms. If any provision is found to be invalid or unenforceable, the rest remain in effect. Our failure to enforce a right is not a waiver of it. You may not transfer your rights or obligations under these Terms; we may transfer ours to an affiliate or successor. These Terms are written in English, which prevails over any translation.
